Terms and Conditions

1. These terms

These terms are an agreement between you and Suits & Sandals LLC ("Suits & Sandals", "we", "us", "our") covering your use of suits-sandals.com and everything on it. By using the site, you accept them. If you do not accept them, please do not use the site.

2. Who we are

Suits & Sandals LLC is a limited liability company with a registered business address at 240 Kent Ave, Brooklyn, NY 11249, United States. You can reach us at hello@suits-sandals.com.

3. Client work is governed by a separate agreement

This site is informational. Nothing on it, including a capability description, a price range, an estimate, or an answer from our AI assistant, is an offer to enter a contract or a binding commitment. Work we do for a client is governed only by a written agreement signed by both parties, such as a proposal, statement of work, or master services agreement. If anything in that signed agreement conflicts with these terms, the signed agreement governs the work.

4. Who may use the site

You must be at least 18 years old and able to enter a binding contract. If you use the site on behalf of an organization, you confirm that you are authorized to accept these terms for that organization.

5. Permission to use the site

We give you a personal, revocable, non-exclusive, non-transferable permission to view the site and to download or print pages for your own internal reference. Every other use needs our written permission.

6. Things you must not do

You must not:

  • copy, republish, sell, license, or redistribute content from the site, or use it to train a machine learning model, without our written permission;
  • scrape, crawl, or harvest the site beyond ordinary search engine indexing, or use automated tools in a way that burdens our infrastructure or works around rate limits;
  • submit false information, another person's details without their permission, spam, or anything unlawful through our forms or our AI assistant;
  • transmit malware, attempt to gain unauthorized access to any part of the site, its accounts, or its systems, or test its security without our written permission;
  • reverse engineer or try to derive the source code of the site, except where the law expressly allows it;
  • remove or obscure any copyright, trademark, or other proprietary notice;
  • frame or mirror the site, or present it in a way that suggests an association, endorsement, or sponsorship that does not exist.

We may limit, suspend, or block access to the site at any time, without notice, if we reasonably believe you have broken these terms or put the site at risk.

7. Intellectual property

The site and its design, code, copy, photography, video, illustration, and our brand names, logos, and marks, including "Suits & Sandals", belong to us or our licensors and are protected by copyright, trademark, and other laws. Work shown in our case studies and portfolio is published with our clients' permission, and their brand names, logos, and marks belong to them. Nothing on this site transfers any right in our intellectual property or our clients' intellectual property to you.

8. What you send us

Please do not send confidential information through this site. Anything you send through a form, through our AI assistant, or by unsolicited email is not confidential, and no confidentiality obligation or non-disclosure agreement arises from it. Confidential discussions about a project happen under a signed agreement, as described in section 3. If you send us feedback, ideas, or suggestions, you give us a perpetual, worldwide, royalty-free right to use them without restriction or compensation, and you confirm that you are free to give them to us.

9. Ask, our AI assistant

Ask is an automated assistant that generates answers from published content on this site using a third-party AI model. Its answers can be incomplete, out of date, or wrong. They are general information only, not professional, legal, financial, or technical advice, and not a quote, proposal, or commitment. Please confirm anything important with us before relying on it, and do not enter confidential or sensitive information. We log questions as described in our Privacy Policy, and we may change or withdraw the assistant at any time.

10. Third-party links and services

The site links to services we do not control, including social profiles and the scheduling tool used to book a call. We are not responsible for their content, practices, or availability, and a link is not an endorsement. Their own terms and privacy policies apply.

11. Privacy

Our Privacy Policy explains what personal information we collect, why, and who we share it with. By using the site you acknowledge it.

12. The site is provided as is

We put real care into this site, and we still have to say this: the site is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement, and without any warranty that the site will be uninterrupted, secure, error free, or free of harmful components. We do not warrant that any content is accurate, complete, or current. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

13. Limitation of liability

To the fullest extent the law allows, neither Suits & Sandals nor its members, employees, or contractors are liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of the site, even if we were told such damages were possible. Our total liability for all claims relating to the site will not exceed the greater of the amount you paid us in the twelve months before the claim arose, or one hundred United States dollars (US$100). These limits do not apply to liability that cannot be limited by law, including liability for fraud, fraudulent misrepresentation, gross negligence, or willful misconduct.

14. Indemnity

You will indemnify and hold us harmless from any claim, loss, liability, and reasonable legal fees arising out of your use of the site in breach of these terms or of applicable law, or out of content you submit through the site.

15. Governing law and venue

These terms, and any dispute arising out of them or out of your use of the site, are governed by the laws of the State of New York, without regard to its conflict of laws rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Kings County, New York, and in the Eastern District of New York, and each of us waives any objection to venue in those courts. If you are a consumer resident elsewhere, nothing here removes any protection that the mandatory law of your place of residence gives you.

16. Time limit on claims

Any claim relating to the site must be brought within one year after it arises, to the extent the law allows.

17. Copyright complaints

If you believe something on this site infringes your copyright, email hello@suits-sandals.com with:

  • your name, address, telephone number, and email address;
  • identification of the copyrighted work you say has been infringed;
  • the URL of the material you want removed;
  • a statement that you have a good faith belief the use is not authorized by the owner, its agent, or the law;
  • a statement that the information in your notice is accurate and, under penalty of perjury, that you are the owner or authorized to act for the owner;
  • your physical or electronic signature.

We will review the notice and, where appropriate, remove the material.

18. Changes

We may change the site, and these terms, at any time. The current version is always on this page, and the effective date at the top shows when it last changed. Continuing to use the site after a change means you accept the updated terms.

19. General

If a provision of these terms is unenforceable, the rest stays in effect and the unenforceable part is limited to the minimum extent needed. Our failure to enforce a provision is not a waiver of it. You may not assign these terms; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. These terms, together with the Privacy Policy, are the entire agreement between you and us about the site. We are not liable for any failure or delay caused by events outside our reasonable control. Notices to us go to hello@suits-sandals.com; notices to you may be given on the site or to the email address you gave us. Nothing in these terms creates a partnership, joint venture, employment, or agency relationship.
